Ownership and Management Succession (OMS)

Our Clients rely upon our highly experienced and sensitive approach to providing services in planning for business succession and implementing their specific plan at all stages in their life cycle. Our OMS services include:

  • Counseling clients in establishing their goals and strategies to achieve them
  • Documenting the planning process
  • Negotiating/mediating agreements and documenting them
  • Coaching clients during implementation of their plan

Representative Engagements

  1. Advised parents through the successful transition of ownership and management to some of their children. (The business has prospered and grown significantly over the past decades since we helped implement the plan.)
  2. Represented the younger of two shareholders in transitioning the business to him while meeting the needs of his more senior shareholder. (The business succeeded for many years until the younger retired and sold the business with our help.)
  3. Represented a son in acquiring a business from his father. The son with his financial partner went on to grow the business by using it as a platform for acquisitions.
  4. Assisted a holding company owned by two families in dividing the companies owned by the holding company between the two families.
  5. Advised and counseled partners in transitioning their successful business to the next generation comprised of one child of each partner.
  6. Represented a business consisting of several different but related businesses in a successful transition from parents to their children, with adequate assurance that the businesses and their value would remain only in the parents' blood line. Thereafter, represented the succeeding generation in restructuring and relocating the businesses through a series of transactions.
  7. Represented a business in successful transition from the second to the third generation.
  8. Represented business owners in restructuring ownership of a very successful business to spread wealth between and among family members, subsequently representing the owners in transitioning the business to a third party.
